Our Terms of Service govern your access to and use of our platform. By using our services, you agree to be bound by these terms.

Acceptance of Terms & Eligibility
By accessing omnivert.ai, you enter into a legally binding agreement with Omnivert (UK). You represent that you have the legal authority to bind your organisation to these terms. Our services are strictly for business-to-business (B2B) use; use by individual consumers or anyone under the age of 18 is strictly prohibited.
SaaS Licence & Restrictions
We grant you a non-exclusive, non-transferable, revocable licence to access our turnover prediction platform. You agree not to: (a) reverse engineer or decompile the software; (b) use the platform to build a competing product; or (c) bypass any security measures. Any unauthorised use terminates your licence immediately without notice.
Data Processing & AI Accuracy
You acknowledge that our platform uses artificial intelligence to provide turnover predictions. While we strive for high accuracy, these are "predictions" and not guarantees of future events. Omnivert.ai shall not be held liable for business decisions, including hiring or terminations, made based on platform output. You remain the sole controller of any employee data uploaded.
Client Obligations & Data Warranty
You warrant that you have obtained all necessary consents and have a lawful basis under UK GDPR to provide employee data to us for processing. You agree to indemnify and hold omnivert.ai harmless against any third-party claims, legal fees, or regulatory fines arising from your breach of data protection laws or unauthorised data uploads.
Payment, Subscriptions & Refunds
Fees are billed in advance on a subscription basis as outlined in your Order Form. All payments are non-refundable unless required by UK law. Late payments may result in the immediate suspension of service. We reserve the right to adjust pricing upon 30 days' notice, which will apply to your next renewal cycle.
Limitation of Liability & Indemnity
To the maximum extent permitted by UK law, omnivert.ai’s total liability for any claim shall not exceed the amount paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or loss-of-profit damages. You agree to defend and indemnify us against any claims resulting from your misuse of the platform.
Termination, Governing Law & Jurisdiction
Either party may terminate this agreement if the other breaches these terms and fails to cure the breach within 30 days. Upon termination, your access ceases and data will be handled per our Privacy Policy. These terms are governed by the laws of Scotland, and any disputes shall be subject to the exclusive jurisdiction of the Scottish courts.
